By-Laws
Article I: OFFICIAL YEAR
Section 1: FISCAL YEAR
The fiscal year of the club shall be
the calendar year from January 01 through December 31 of a given year.
Section 2: MEMBERSHIP YEAR
The membership year of the club shall be the calendar
year from the Month a membership is processed to the end of that given year (12 months).
Article II: DUES AND FEES
Section 1: INITIATION FEE
An initiation fee of $30 will be paid
by applicants for active membership with the original application. If the application is
not approved for any reason other than failure to comply with ByLaws under Article VIII,
this fee and any advanced dues shall be returned to the applicant.
Section 2: ANNUAL DUES
Annual dues for active members to include
the Founding Five as named in Article XII shall be payable in advance, conditional on
complying with Article VIII of these ByLaws. Honorary memberships will be Decided by the
Board of Directors. Annual dues amount shall be determined by the Board of Directors.
Section 3: CANDIDATES FOR OFFICE
All candidates for Board of Directors must be an
active member.
Article III: MEETINGS AND EVENTS
Section 1: MEETINGS
There shall be at least (1) one business
meeting a year to be held at location/time to be determined by the Board of Directors.
Notice will be published in the newsletter, or on the website prior to meeting.
Section 2: EVENTS
A.There will be a National show with competitive,
non-competitive, or social activities. Time/location to be determined by the Board of
Directors.
B. All National events will be named REUNIONS.
Section 3: BOARD MEETINGS
The Board of Directors shall hold at
least two (2) meetings per year at the discretion of the Chairman of the Board.
Section 4: SPECIAL MEETINGS
A. Special meeting of the general membership
shall be published in the newsletter, or on the website prior to the meeting.
B. Special meetings of the Board of Directors can be held via internet emails, etc.
Board members voting's are acceptable to questions posed by any Board member. Other Board
members will have ten (10) days in which to respond on voting matters.
Article IV: NOMINATIONS
Section 1: NOMINATING
Nominations for Board members will be taken by
email, or in person by the Election Chairman noted in Article V, section 2. Any interested
member that is an active in good standing may ask for a nomination to the Board.
A. There will be a minimum of five board members and a max. of seven.
Section 2: QUALIFICATIONS FOR OFFICERS
A. All Board of Directors: must be 21 years of
age or older and an active member in good standing.
B. All Board
of Directors must have internet access and shall notify The Founding Five as named in
Article XII of email addresses. Failure to maintain active email access throughout term of
service shall result in dismissal from Board of Directors.
Section 3: TERMS OF OFFICE
A. The Founding Five as named in
Article XII will maintain lifetime positions as acting Board of Directors,
however, any of the founding 5 may step down if they wish.
A. All offices named in Article IV, Section 2A of
the ByLaws shall hold office until their successors are elected or appointed and qualified
for office by the Founding Five members who are named in Article XII f the bylaws.
Article V: ELECTIONS
Selection 1: Time
Elections of Directors shall be
announced and published in the newsletter, or website within 60 days from elections or appointment.
Section 2: ELECTION CHAIRMAN
The Board shall appoint an election
chairman who shall have charge of counting and tabulating of the votes.
Section 3: PROCEDURE
A. The election of new board members
will be decided by existing Board Members by email/in person.
Article VI: DUTIES OF BOARD MEMBERS
Section 1: DUTY ASSIGNMENTS
A. All Board members will be given
specific duties as agreed upon by the Board for them to effectively establish and conduct
day to day activities concurring the club.
B. The Founding Five as named in Article XII will maintain overseeing duties of club
direction and operation.
Article VII: DUTIES OF APPOINTED POSITIONS
A. The appointees shall perform such duties as
specified by the Board of Directors.
Article VIII: MEMBERSHIP REQUIREMENTS
Section 1: INSURANCE REQUIREMENTS
Each active and honorary member shall be required
to carry and produce to the membership chairperson - evidence of public liability and
property damage policy as follows:
A. Each and every active/honorary member shall carry proof of auto insurance
when participating in any event associated with the club that transpires on public domain
and/or private property.
B. Lack of proof, infringement of, expiration of, or cancellation of a members policy -
immediately invalidates his/her membership in this club. The preceding applies to any
person holding a membership who operates a motor vehicle.
Section 2: OPERATORS LICENSE
Every active/honorary member who
operates a motor vehicle will have a driver's license on person at all times. Lack of
proof, infringement of, expiration of, or cancellation of a members motor vehicle driver's
license - immediately invalidates his/her membership in this club.
Section 3: ADDITIONAL REQUIREMENTS
All applicants for membership shall:
A. Submit an application with appropriate fees under Article II of the ByLaws.
B. All applicants 17 yrs of age or younger must have parent/legal guardian co-sign
application.
Article IX: TERMINATION OF MEMBERSHIP
Section 1: REASONS FOR TERMINATION OF MEMBERSHIP
Membership may be terminated for any
of the following reasons on recommendation of the Board:
A. Delinquency of dues
B. Any breach of the ByLaws set forth by this club.
C. For any reason deemed detrimental or injurious to this club.
D. Voluntary resignation.
Section 2: CLUB'S RESPONSIBILITY ON TERMINATION OF
MEMBERSHIP
Upon termination of membership under
Article VIII, Sections 1, 2, 3 of the ByLaws, it's understood that no liability for the
actions of the outgoing member or members will be sustained by the club. Any and all dues
paid in advance by such member are automatically forfeited to the club and will not be
returned to the member under any circumstances.
Section 3: REJECTION AND APPEALS
Any person's membership that's
terminated or rejected shall have the right to appeal to the Board of Directors. All
appeals shall be in writing with no exceptions. At the discretion of the Board of
Directors, other evidence shall be presented.
Article X: EXPENDITURES
Section 1: AUTHORIZATION OF EXPENDITURES
All expenses shall be submitted to the
Board of Directors for approval.
Article XI: PROPERTY
All club property may be disposed of
by vote from the Board of Directors in accordance with State's law.
Article XII: FOUNDING FIVE
The Founding Five Directors are Lee
Clary, Mike Ray, Bud Morton, Paul Becker, and Gary Alsobrooks.
